訂閱服務協議之條款及條件 (香港及澳門地區)

壹傳媒有限公司及其附屬、關聯、聯營公司(統稱「本公司」、「壹傳媒」或「我們」)設有多個不同訂閱項目,包括《蘋果日報網站》(香港) 及手機應用程式《蘋果動新聞》 ( 簡稱《蘋果動新聞》)及《壹週刊》網站或手機應用程式 (簡稱《壹週刊》 ),為閣下提供手機、網上新聞及資訊,或飲食相關資訊訂閱服務(簡稱「訂閱服務」)。閣下在登記本公司的訂閱服務前,請細閱本訂閱服務協議之條款及條件(「本協議」)。當閣下使用訂閱服務時,即已表示閣下同意並遵守以下條款及條件。

1. 同意接受條款及條件
閣下在訂閱及/或使用服務時,即已表示閣下同意接受本協議所有條款及條件的約束。如閣下不同意遵守本訂閱服務協議之條款及條件,請勿進行訂閱登記及/使用本訂閱服務。本訂閱服務只會提供予接受本本協議約束之訂戶。本公司可能會不定期地修訂本協議。當本協議條款有實質性變更時,我們會努力通過在本公司電子平台上公佈修訂後的條款。在我們通過上述途徑將條款變更首次通知後,你繼續使用本訂閱服務即視爲你同意該條款變更。如果你不同意相關變更,則你應立即自行終止你的訂閱,並不再使用本訂閱服務。

當閣下完成訂閱登記程序並確認訂閱時,即表示閣下確認其年滿18歲並以訂戶之身份接受了本協議的所有條款及條件的約束。

2. 訂閱服務
《蘋果動新聞》、《蘋果新聞網》及《壹週刊》分別設有不同地區訂閱項目,訂戶根據所在地選購任何適當的訂閱項目。各訂閱項目的訂閱服務內容如下:

2.1 《蘋果動新聞》及《蘋果新聞網》
2.1.1 桌面電腦:訂戶可透過互聯網,瀏覽新聞內容及資訊。支援 HTML5 標準之 Google Chrome(最新版本)、Firefox(最新版本)及 Microsoft Internet Explorer(11.0 版本或以上,包括 Edge 版本)瀏覽器。
2.1.2 手機應用程式 (iOS & Android):訂戶可透過 Android (6.0 版本或以上) 手機或 iPhone (iOS 11或以上),瀏覽即日新聞內容及資訊。
2.1.3 手機網頁版 (Mobile Web) : 訂戶可透過 Android (5.1 版本或以上) 平板電腦/手機 或 iPad/iPhone (iOS 10或以上),瀏覽即日新聞內容及資訊。
2.1.4 本訂閱服務僅用於提供新聞及資訊性內容為目的,當中納入之新聞及資訊內容,非供任何商業交易或投資目的而使用,也不能據此進行任何商業活動、交易或投資。經由本訂閱服務傳送之任何資訊之準確性、可靠性、完整性、實時性、適用性和供應,本公司均不承擔任何責任。基於前述資料之任何商業活動、交易或投資決定,本公司亦不予負責。
2.1.5 本公司保留一切拒絕及/或終止任何訂閱服務的權利。

2.2 《壹週刊》
2.2.1 桌面電腦:訂戶可透過互聯網,瀏覽新聞內容及資訊。支援 HTML5 標準之 Google Chrome (最新版本)、Firefox (最新版本)及 Microsoft Internet Explorer(11.0 版本或以上,包括 Edge 版本)瀏覽器。
2.2.2 手機應用程式 (iOS & Android):手機應用程式 (iOS & Android):訂戶可透過 Android (6.0 版本或以上) 手機或 iPhone (iOS 11或以上),瀏覽即日新聞內容及資訊。
2.2.3 手機網頁版 (Mobile Web) : 訂戶可透過 Android (5.1 版本或以上) 平板電腦/手機 或 iPad/iPhone (iOS 10或以上),瀏覽即日新聞內容及資訊。
2.2.4 本訂閱服務僅用於提供新聞及資訊性內容為目的,當中納入之新聞及資訊內容,非供任何商業交易或投資目的而使用,也不能據此進行任何商業活動、交易或投資。經由本訂閱服務傳送之任何資訊之準確性、可靠性、完整性、實時性、適用性和供應,本公司均不承擔任何責任。基於前述資料之任何商業活動、交易或投資決定,本公司亦不予負責。
2.2.5 本公司保留一切拒絕及/或終止任何訂閱服務的權利。

3. 訂戶義務及責任
3.1 訂戶使用本訂閱服務,必須同意以下各項:
3.1.1 依照訂閱服務登記表之申請指示,提供正確、準確、最新及完整的訂戶資料(以下簡稱「登記資料」)。
3.1.2 保持該等登記資料正確及完整及在必要時更新登記資料,以確保其為正 確、準確、最新及完整。
3.1.3 訂閱服務只供付款訂戶個人使用,不得轉讓別人或團體,亦不得與他人共用同一訂戶帳戶。

3.2 若訂戶提供任何錯誤、失實、過時或不完整的登記資料,或本公司懷疑有關登記資料為錯誤、失實、過時或不完整,本公司有權不接受訂戶登記申請,以及暫停或終止對訂戶提供所有訂閱服務(或訂閱服務的任何部分)而無需向訂戶作出任何通知及負上任何責任。而訂戶已繳付之訂閱費用將不予退回,而未繳付的訂閲費則須在到帳日繳付。

3.3 若要維持訂閱服務,訂戶須同意按照在訂閱服務選項上所選擇的訂閱服務項目之費用(簡稱「服務費用」)和支付方法,繳付服務費用。本公司會不時在訂閱服務登記表上訂立及更新服務費用。若訂戶選擇使用信用卡或 PayPal 支付服務費用,訂戶即授權本公司從訂戶所提供之信用卡或 PayPal 賬戶直接扣除全部應繳服務費用,訂戶並同意填寫及提供所有有關使用信用卡或 PayPal 付款的信息/文件。若訂戶選擇日費訂閱服務,本公司將於每月使用服務後下一個月的首天直接及自動從其信用卡或 PayPal 賬戶過帳收取費用。訂戶於訂閱時已授權本公司從訂戶申請訂閱服務時所提供之信用卡戶口或 PayPal賬戶直接及自動扣除訂閱費,直到訂戶成功取消訂閱服務為止。訂戶同意所有已繳付的服務費用均不設退還,在適用法律許可的最大範圍內,無論在任何情況或任何理由或任何要求下,本公司也不會作出任何退款安排。

3.3.1 若訂戶於App Store / Goolge Play Store 訂閱服務,當閣下確認購買訂閱計劃後,將直接從閣下的Apple ID 或 Google賬戶扣款。若閣下沒有在訂閱到期日前24小時,關閉自動續訂功能,將自動扣款續訂。你可以隨時從App Store / Google Play的賬戶設定內取消自動續訂功能。訂戶同意所有已預繳的服務費用均不設退還,在適用法律許可的最大範圍內,本公司也不會作出任何退款安排。

3.4 《蘋果動新聞》(香港)升級壹會員訂閱服務的網站及手機網頁版分別有日費、月費及年費訂閱計劃。訂閱《蘋果動新聞》(香港)升級壹會員訂閱服務,可以同時閱覧《蘋果動新聞》(香港)及 《蘋果新聞網》(台灣),計劃只適合香港及部份澳門地區人仕購買。

ai)「日日$1.68計劃」(舊):以港幣 50.4 元為每月定額價格,任何月份均一律以30日作計算(無論當月整個月份是28日,29日、30日或是31日,均統一以30日計算),每月之訂閱費會在下月1號從訂戶授權付費之信用卡 / 或 PayPal 收取 。如訂閱期不足一個月,則以平均每日港幣 1.68 元計算訂閱費,(即港幣 50.4元 / 30 日 x 已訂閱的天數 = 訂戶應繳之訂閱費),例如:9月2日訂閱,9月10日取消訂閱,應繳之訂閱費為 (HK$1.68 x 8日=HK$13.44)。每月之訂閱費會在下月1號從訂戶授權付費之信用卡/或 PayPal 收取,9月的訂閱費將在10月1日收取,例如:9月2日訂閱,10月1日應繳之訂閱費為 (HK$1.68 X 29日 = HK$48.72)。「日日$1.68計劃」將每月自動續約,直至訂戶取消為止。

aii) 「日日$1.68計劃」(舊)訂閱費按日計算方法:以香港地區為計,香港時間凌晨 00:00:00 起至 23:59:59為一日,閱覧開始的時間和結束不足一日按一日計算,而從 24:00:00 開始就視作為新的一日來結算。

aiii) 當訂戶取消或終止「日日$1.68計劃」(舊),訂戶將不能閱覧任何內容,而未繳付本公司之一切訂閱費用,即時從訂戶授權付費之信用卡/或 PayPal 收取,成功收取訂閱費後,會以電郵向訂戶發出電子賬單。

aiv) 如訂戶未繳清訂閱費,本公司可委任任何人士為代理人,代表本公司履行其在訂閱服務協議中承擔之職責或可將其根據訂閱服務協議所擁有之權力,授予該等人士及可委任任何其他人士為第三者代理(包括任何債務追收代理或律師),追收訂戶根據訂閱服務協議欠下本公司之任何或所有服務費用。

bi)「日費訂閱」:以港幣50.4元為每月定額價格, 任何月份均一律以30日作計算(HK$1.68 x 30=HK$50.40)。計劃以預繳方式支付訂閱費,每月自動續訂,費用由訂閱日起計每月同日自動從閣下授權的付款方法收取,直至訂戶取消訂閱。如訂戶在已付費的閱覧期內取消訂閱,取消當日起計算,[即港幣1.68元 x 剩餘閱覧日數],未使用的餘額將會全數退回給訂戶,訂戶取消服務後即時不能閱覧任何內容。例如:訂戶如在2020年4月1日訂閱,訂閱周期到2020年4月30日止。 訂戶在2020年4月27日取消訂閱,剩餘閱覧日數 : 付費該月的最後一天 - 取消訂閱日子,即【30日-27日= 3日】,訂戶可收回退款:HK$1.68x 3 = HK$5.04 。詳情請電郵至cs@nextdigital.com.hk查詢。

bii)「日費訂閱」退款安排: 我們在收到訂戶取消訂閱後,會向 3.7 及 3.8 項的授權第三方支付網關申請退款,處理需時最少一個月。我們在獲悉申請被接納後,會以電郵通知訂戶,該筆退款將會退回訂戶用以繳付該日費的發卡銀行賬戶內。

ci)「月費訂閱」: 以港幣58元為每月定額價格,可在網上或手機訂閱,網上訂閱月費可以信用卡 / 或 PayPal 預繳支付。計劃每月自動續訂,費用由訂閱日起計每月同日自動從閣下授權的付款方法收取,直至訂戶取消訂閱。「月費訂閱」可取消續訂,不設退款。

cii) 訂戶如在手機應用程式內購買「月費訂閱」計劃,訂閱費由App Store / Google Play 收取,各國家/地區的價格定價及貨幣折算,均屬App Store / Google Play政䇿設置。如果閣下有手機應用程式內訂閱相關的問題,可以前往App Store/ Google Play 查詢或回報問題。閣下也可以在手機應用程式內更改或取消自動續訂該訂閱項目。

ciii) 訂戶取消續訂「月費訂閱」計劃,仍可閱覧服務到該訂閲月之結算日23:59:59為止,例如:2020年3月30日訂閱該服務,2020年4月15日取消續訂,閱覧期將於2020年4月29日23:59:59完結。

di) 「8折年費計劃」:以港幣 483.8元(即原價港幣604.8元的8折) 為每年定額價格,年費以信用卡 / 或 PayPal / 或前往 7-Eleven 以及其他繳付方法一筆過支付,不設退款。「8折年費計劃」將每年自動續約,直至訂戶取消訂閱為止。如訂戶在年費有效期內取消續訂,仍可閱覧服務到該訂閲年之最終日23:59:59為止,例如:2020年3月30日訂閱,2020年8月1日取消續訂,閱覧期將於2021年2月28日23:59:59完結。

dii) 如訂戶選擇 7-Eleven 繳付「8折年費計劃」,須登入帳戶,點擊「我的賬單」內獲取二維碼(QR Code),前往任何一間 7-Eleven 分店,出示QR Code以現金繳付賬單。過戶需時兩日。二維碼的有效期為五日,以訂戶購買年費計劃之日起計,五日內需前往任何一間 7-Eleven 使用二維碼繳費,每日截數時間為當日的下午五時(17:00:00)。如訂戶在購買後第五日的 17:00:00 還未支付年費,我們有權隨時終止其訂閱服務。

ei) 「撐足一年計劃」(舊):以港幣 604.8 元 (即港幣 1.68 元 x 30 x 12) 為每年定額價格,年費以信用卡 / 或 PayPal / 或前往 7-Eleven 以及其他繳付方法一筆過支付。如訂戶在年費有效期內取消訂閱,將按比例計算已訂閱月份,即每月HK$50.40(HK$604.80/12月=HK$50.40),不足一個月亦以一個月計算,[即港幣 604.8元 - (港幣 50.4 元 x 已訂閱的月數)],餘額會全數退回給訂戶,訂戶仍可閱覧服務到該訂閲月之結算日23:59:59為止,例如:2019年9月15日訂閱,2019年11月1日取消,可退回之訂閱費為 (HK$604.8 - HK$ 50.4 x 2個月 = HK$504),而閱覧期將於2019年11月14日23:59:59完結。詳情請電郵至cs@nextdigital.com.hk查詢。「撐足一年計劃」將每年自動續約,直至訂戶取消為止。

eii)「撐足一年計劃」(舊)年費退款安排
1) 網上繳付年費的退款: 我們在收到訂戶取消訂閱後,會向 3.7 及 3.8 項的授權第三方支付網關申請退款,處理需時最少一個月。我們在獲悉申請被接納後,會以電郵通知訂戶,該筆退款將會退回訂戶用以繳付該年費的發卡銀行賬戶內。所有優惠計劃均不設退款。

2) 線下繳付年費的退款:我們在收到訂戶取消訂閱後,會通過電郵或電話聯絡訂戶,處理退款,需時大概一個月,該筆退款會退回訂戶指定的銀行賬戶內。所有優惠計劃均不設退款。

eiii)「撐足一年計劃」(舊)訂閱費按年計算方法:以香港地區為計,訂閱期由訂閱當日起計12個月,直至訂閱最後一天23:59:59為準,例如:2019年9月15日訂閱,將於2020年9月14日23:59:59完結。

3.5 《壹週刊》升級壹會員訂閱服務分別有日費、月費及年費訂閱計劃,計劃只適合香港及部份澳門地區人仕購買。

ai) 「日費訂閱計劃」: 以港幣30元為每月定額價格,任何月份均一律以30日作計算(HK$1 x 30=HK$30)。計劃以預繳方式支付訂閱費,每月自動續訂,費用由訂閱日起計每月同日自動從閣下授權的付款方法收取,直至訂戶取消訂閱。如訂戶在已付費的閱覧期內取消訂閱,取消當日起計算,[即港幣1元 x 剩餘閱覧日數],未使用的餘額將會全數退回給訂戶,訂戶取消服務後即時不能閱覧任何內容。例如:訂戶如在2020年4月1日訂閱,訂閱周期到2020年4月30日止。 訂戶在2020年4月27日取消訂閱,剩餘閱覧日數 : 付費該月的最後一天 - 取消訂閱日子,即【30日-27日= 3日】,訂戶可收回退款:HK$1x 3 = HK$3 。詳情請電郵至cs@nextdigital.com.hk查詢。

aii) 我們在收到訂戶取消訂閱後,會向 3.7 及 3.8 項的授權第三方支付網關申請退款,處理需時最少一個月。我們在獲悉申請被接納後,會以電郵通知訂戶,該筆退款將會退回訂戶用以繳付該日費的發卡銀行賬戶內。

bi) 「月費訂閱計劃」: 以港幣33元為每月定額價格,可在網上或手機訂閱,網上訂閱月費可以信用卡 / 或 PayPal 預繳支付。計劃每月自動續訂,費用由訂閱日起計每月同日自動從閣下授權的付款方法收取,直至訂戶取消訂閱。「月費訂閱計劃」可取消續訂,唯不設退款。

bii) 訂戶如在手機應用程式內購買「月費訂閱計劃」,訂閱費由App Store / Google Play 收取,各國家/地區的價格定價及貨幣折算,均屬App Store / Google Play政䇿設置。如果閣下有手機應用程式內訂閱相關的問題,可以前往App Store/ Google Play 查詢或回報問題。閣下也可以在手機應用程式內更改或取消自動續訂該訂閱項目。

biii) 訂戶如取消續訂「月費訂閱」計劃,仍可閱覧服務到該訂閲月之結算日23:59:59為止,例如:2020年3月30日訂閱該服務,2020年4月15日取消續訂,閱覧期將於2020年4月29日23:59:59完結。

ci) 「升級壹會員每月訂閱計劃」(舊):以港幣 30 元為每月定額價格,任何月份均一律以30日作計算(無論當月整個月份是28日,29日、30日或是31日,均統一以30日計算 ),每月之訂閱費會在下月1號從訂戶授權付費之信用卡 / 或 PayPal 收取 。如訂閱期不足一個月,則以每日港幣 1 元計算訂閱費,即 (港幣 30 元 / 30日 x 已訂閱的日數 = 訂戶應繳之訂閱服務費),例如:9月2日訂閱,9月10日取消訂閱,應繳之訂閱費為 (HK$1 x 8日 = HK$8) 。每月之訂閱費會在下月1號從訂戶授權付費之信用卡/或 PayPal 收取,9月的訂閱費將在10月1日收取 ,例如:9月2日訂閱,10月1日應繳之訂閱費為 (HK$1 X 29日 = HK$29) 。月費訂閱計劃將每月自動續約,直至訂戶取消為止。

cii) 「升級壹會員每月訂閱計劃」(舊)的計算方法:以香港地區為計,香港時間凌晨00:00:00起至23:59:59 為一日,閱覧開始的時間和結束不足一日按一日計算,而從24:00:00 開始就視作為新的一日來結算。

ciii) 當訂戶取消或終止「升級壹會員每月訂閱計劃」(舊),訂戶將即時不能閱覧任何內容,而未繳付本公司之一切訂閱費用,即時從訂戶授權付費之信用卡/或 PayPal 收取 ,成功收取訂閱費後,會以電郵向訂戶發出電子賬單。

civ) 如訂戶未繳清訂閱費,本公司可委任任何人士為代理人,代表本公司履行其在訂閱服務協議中承擔之職責或可將其根據訂閱服務協議所擁有之權力,授予該等人士及可委任任何其他人士為第三者代理(包括任何債務追收代理或律師),追收訂戶根據本訂閱服務協議欠下本公司之任何或所有服務費用。

di) 「優惠年費計劃」:以港幣288元(即原價港幣360元的8折) 為每年定額價格,年費以信用卡 / 或 PayPal / 或前往 7-Eleven 以及其他繳付方法一筆過支付。「優惠年費計劃」將每年自動續約,直至訂戶取消為止。如訂戶在年費有效期內取消續訂,仍可閱覧服務到該訂閲年之最終日23:59:59為止,例如:2020年3月30日訂閱,2020年8月1日取消續訂,閱覧期將於2021年2月28日23:59:59完結。

dii) 如訂戶選擇 7-Eleven 繳付年費,須登入帳戶,點擊「我的賬單」內獲取二維碼(QR Code),前往任何一間 7-Eleven 分店,出示QR Code以現金繳付賬單。過戶需時兩日。二維碼的有效期為五日,以訂戶購買年費日起計,五日內需前往任何一間 7-Eleven 使用二維碼繳費,每日截數時間為當日的下午五時(17:00:00)。如訂戶在購買後第五日的 17:00:00 還未支付年費,我們有權隨時終止其訂閱服務。

ei)「壹週刊(香港)升級壹會員全年訂閱計劃」(舊):以港幣 360 元為每年定額價格,以月費(港幣 30 元 x 12 個月 = 港幣 360 元)作為年費定價,年費以信用卡 /或 PayPal /或 前往7- Eleven 以及其他繳付方法一筆過支付。「年費訂閱計劃」訂閱費按年計算方法:以香港地區為計,訂閱期由訂閱當日起計12個月,直至訂閱最後一天23:59:59為準,例如:2019年9月15日訂閱,將於2020年9月14日23:59:59完結。壹週刊「年費訂閱計劃」將每年自動續約,直至訂戶取消為止。

eii) 如訂戶在年費有效期內取消訂閱,將按比例計算已訂閱月份,即每月HK$30(HK$360/12月=HK$30),不足一個月亦以一個月計算,餘額會全數退回給訂戶,訂戶仍可閱覧服務到該訂閲月之結算日23:59:59為止,例如:2019年9月15日訂閱,2019年11月1日取消,可退回之訂閱費為 (HK$360 - HK$ 30 x 2個月 = HK$300),而閱覧期將於2019年11月14日23:59:59完結。詳情請電郵至cs@nextdigital.com.hk查詢。

eiii)「壹週刊(香港)升級壹會員全年訂閱計劃」(舊)退款安排
1) 網上繳付年費的退款:我們在收到訂戶取消訂閱後,會向 3.7 及 3.8 項的授權第三方支付網關申請退款,處理需時最少一個月。我們在獲悉申請被接納後,會以電郵通知訂戶,該筆退款將會退回訂戶用以繳付該年費的發卡銀行賬戶內。所有優惠計劃均不設退款。

2) 線下繳付年費的退款:我們在收到訂戶取消訂閱後,會通過電郵或電話聯絡訂戶,處理退款,需時大概一個月,該筆退款會退回客戶指定的銀行賬戶內。所有優惠計劃均不設退款。

3.6 本公司可不定期對服務費用作出更改,調整,優惠,本公司將適時通知訂戶有關服務費用的更改、調整或優惠,訂戶可自行決定是否繼續享用訂閱服務。

3.7 訂戶透過信用卡支付訂閱服務費用時,直接由壹傳媒授權第三方作為支付網關 (payment gateway) 收費平台,進行收費流程。而本公司的授權第三方,根據符合支付卡產業資料安全標準(Payment Card Industry Compilance) 來收集及處理付款人之信用卡數據,過程與本公司無涉。

3.8 訂戶透過 PayPal 支付訂閱服務費用時,PayPal 會發出BAID (Billing Agreement ID) 給本公司的授權第三方Zuora。訂戶只有 BAID 號碼及 PayPal 電郵會儲存在 Zuora,收款過程及資料保存均與本公司無涉。

3.9 訂戶透過 App Store/ Google Play 訂閱及支付訂閱服務費用時,直接由App Store/ Google Play收取費用,收款過程及資料保存均與本公司無涉。

3.10 訂戶必須自行提供及維持接駁訂閱服務之通訊線路、客端系統硬件及其他裝置,並確定其接收操作正常。

4. 會員登入、密碼及保安
4.1 完成訂閱登記程序後,訂戶即可透過登入電郵或電話號碼及登入密碼,享用訂閱服務。訂戶可按有關帳戶管理的指示更改個人資料及登入密碼。訂戶必須完全自行負責維持其登入電郵、電話號碼、使用者名稱、登入密碼及訂戶帳號資料的機密安全。訂戶須對其透過訂戶密碼登入及使用訂閱服務(包括但不限於獲授權使用其登入電郵、電話號碼、使用者名稱及密碼的第三方)的所有行為負上全部責任。

4.2 訂戶同意如登入電郵或電話號碼及/或登入密碼遭到或懷疑遭到未獲授權使用,或者其他安全性問題發生時,包括但不限於登入密碼被盜或外洩,信用卡及/或信用卡資料遺失、被盜用或資料外洩,訂戶須立即通過電郵cs@nextdigital.com.hk通知本公司。但訂戶仍須承擔在通知本公司之前以及本公司採取適當行動以保護閣下的個人資料及帳戶安全之前因未被授權的第三方透過其使用被盜或外泄的資料登入及使用訂閱服務而引致的一切損失及費用。

5. 訂戶操守
5.1 作為使用訂閱服務的關鍵條款,訂戶向本公司保證訂戶及其獲授權使用訂閱服務的第三方不得利用訂閱服務及其內容作未被本協議准許之目的使用,或利用或發佈或轉載或以任何方式展示訂閱服務內容作任何未經本公司許可或在任何適用法律下的非法用途。訂戶同意遵守香港及任何適用司法管轄區之法律,並明確同意不進行任何適用法律下的非法行為,包括但不限於︰
  1. 透過訂閱服務之使用進行問卷調查、比賽、傳銷、發佈、連鎖信件、廣告信函、濫發郵件或傳播任何含有商業性質之資訊;
  2. 侵犯他人私隱及破壞本公司及/或任何人士聲譽之活動如︰誹謗、毀謗、騷擾、追蹤及威脅等;
  3. 製造及散播不適當、濫用、誹謗、侵犯他人、猥褻、不道德或含有任何適用法律下視為非法成份之資訊;
  4. 宣傳、銷售或買賣任何服務或貨品作非個人用途;
  5. 收集他人的個人資料,包括但不限於電郵地址;
  6. 偽造身份傳播/散佈信息;
  7. 傳送或上載任何含有病毒、炸彈或有害的程式;
  8. 傳送或上載任何侵犯任何人士的知識產權、私隱或聲譽之資訊或信息;
  9. 干擾或破壞聯繫提供訂閱服務的網絡,影響網絡的正常運作;
  10. 企圖以未經授權的身份使用訂閱服務、他人帳戶、聯繫至本公司伺服器的電腦或網絡;
  11. 擅自進入、非法強行闖入、登入、使用或嘗試進入、非法強行闖入、登入或使用未獲本公司及其服務供應商准許及由其擁有或管有之伺服器之任何部分、資料信息庫及/或其他範圍的任何資料;
  12. 影響其他訂戶享用訂閱服務;
  13. 未於指訂時間內繳付訂閱費用;及
  14. 竄改任何本公司所載之內容。

5.2 本公司保留權利(而非責任或義務)監控訂閱服務或任何使用此服務的訂戶,也保留權利因應遵守任何適用司法管轄區的法律、法規、法律程序及/或政府規定作監控、回顧、保留及/或公開任何上述的資料。就閣下個人資料的保護及披露,請參考本公司的《私隱政策》https://www.nextdigital.com.hk/subscribe/privacy.html。

5.3 本公司有權毋須另行通知,即時終止提供訂閱服務予違反操守的訂戶而不作任何退款安排。

6. 訂閱條款的修改及變更
本公司會不時修訂本協議的條款及條件或更改服務費用或施行新的服務系統,此等修改、變更、增加或刪除條款及條件將於《蘋果動新聞》、《蘋果新聞網》、《壹週刊》或透過電郵、短訊、應用程式內通知及/或其他通訊形式公開發佈,除非公佈另有所指,有關公佈時即時生效。訂戶同意定期回顧本協議,確保得悉任何前述的修改、變更、增加或刪除。訂戶繼續使用訂閱服務將被視為訂戶確認及接受本協議及其後的修改、變更、增加或刪除。

7. 訂閱服務的修訂、變更及暫停
本公司隨時保留毋須事前通知訂戶,而作出以下修訂、變更及暫停訂閱服務的權利:

7.1 改變、暫時停止及/或終止所提供的部分或全部訂閱服務內容;

7.2 在任何時間暫停部分或全部訂閱服務以便進行系統維護、升級、測試及/或修理;及

7.3 若本公司按其絕對酌情權認為訂戶的行為違反本協議的任何條款及條件,或按其絕對酌情權認為在合適、適當或必須的情況下,本公司可限制或暫停訂戶的部分或全部連接或使用訂閱服務。

7.4 本公司將盡一切合理努力提供完整的訂閱服務,但並不保證身處全球所有國家/地區或使用任何網絡服務供應商的訂戶,均能使用本公司的完整訂閱服務。若因為個別國家/地區或個別網絡服務供應商的特別情況,或其他特殊的不可抗拒理由而令訂戶無法使用本公司訂閱服務,包括但不限於:個別國家/地區網絡封鎖境外網站,或自然災害令網絡設施損壞等,訂戶將不能以此作為取消訂閱服務的理由。

7.5 本公司保留任何修改、變更或暫停任何本公司的會員項目或制度及會員閲覧權限的權利。如有未盡事宜,均悉依本公司相關規定或解釋辦理,並隨時按上述第6條補充及公告。

7.6 訂戶確認本公司在按此條條款行使訂閱服務的修訂、變更及暫停的權利時,毋須向訂戶或第三方承擔任何責任。

8. 知識產權保障之內容
8.1 訂戶承認,除「你的內容」(見以下第9.1條定義)之外,我們和/或我們的供應商為蘊含在訂閱服務的所有內容及基礎技術,以及在或通過訂閱服務載有的全部信息和內容,包括但不限於文字、檔案、音樂、聲音檔案、相片、影片、圖案或廣告內容,及/或經由本訂閱服務或廣告商向訂戶提供/呈現之贊助、廣告或資訊所包含之內容( 統稱爲「服務內容」)的所有知識産權的所有人。所有服務內容在全球範圍內受到版權、商標、服務商標、專利權或其他知識產權法例保障。在訂戶遵守本協議的前提下,本公司授權訂戶爲了個人的非商業化目的瀏覽及使用服務內容,該授權爲有限的、非排他性的、不可轉讓、不可再許可、並可撤銷的授權。除此以外,訂戶不准許以其他目的使用服務內容。我們及我們的供應商對本協議未授權的內容保留全部權利,沒有任何默認授權的內容。訂戶下載受知識產權保障之服務內容只限於私人或非商業用途,並須在下載時保留所有版權或其他知識產權的公告。訂戶或其授權第三方使用服務內容時,不得侵犯本公司或其關聯公司、廣告客戶或內容服務提供者的知識產權,包括但不限於組建、下載或未經授權將部分服務內容或訂閱服務接駁到訂戶自身或第三者的互聯網絡。

8.2 在未經本公司的事先書面同意下,訂戶不得對服務內容的全部或部分進行複製、下載、上傳、打印、展示、出版、許可、公佈、傳送、修改、翻印、散播、發行、以資料庫型式儲存、向訂戶以外的第三方展示、更改 、創作衍生作品、反向工程、反彙編、改編、傳播、轉讓、傳送或以任何形式使用下載的服務內容。訂戶不可透過任何網絡,包括但不限於區域網絡,散佈或傳送下載的服務內容,亦不能將下載的服務內容製成任何形式的資料庫或以其他方式使用, 但本條款或任何相關服務內容的附加準則、條款或規則中明確允許的使用除外。

8.3 訂戶必須確認本公司或其服務供應商提供的訂閱服務所使用之任何相關軟件( 簡稱「軟件」)只限用於接駁及使用本公司的訂閱服務,並受到相關的知識產權或其他法例保障。訂戶不得將或企圖將軟件授權、轉讓或轉給其他第三方。訂戶可保留一份軟件存檔,用於接駁及使用訂閱服務,但只限於私人或非商業用途,並不得侵犯軟件在任何適用法律下的任何知識產權,包括但不限於複製、上傳、打印、展示、出版、許可、公佈、傳送、發行、改編、轉讓、以資料庫型式儲存、向訂戶以外的第三方展示、更改、作反向工程、反彙編、散播、修改、進行還原工程、創作衍生作品等。訂戶同意不以任何形式修改軟件,或使用經修改之軟件,包括但不限於為了未經授權而使用本訂閱服務之目的。訂戶同意不經由非本公司所提供的介面使用本訂閱服務。

8.4 本公司有權單方自行决定服務內容的具體種類、類型、內容、數量、供應、質量或其他特徵。本公司保留在任何時候、不論是否通知訂戶,均可單方自行决定對訂閱服務、服務內容或我們任何的服務之全部或部分進行修改、暫停、删減或停止的權利。訂戶同意,對因本公司的上述修改、暫停、删減或停止行爲對訂戶或任何第三者造成的損失,本公司概不承擔責任。

9. 你的內容
9.1 對訂戶在或通過我們上傳或傳送的全部文字、檔案、音樂、聲音檔案、相片、影片、圖案、圖片、視頻或任何其它資料、信息或內容(統稱「你的內容」),我們不主張任何所有權。在知識産權和財産權規限下,訂戶在此授權我們在提供訂閱服務時對你的內容進行存儲、複製、修改、創作衍生作品、出版、傳播、轉讓、傳送、公開展示、公開表演或以其他方式使用,上述的授權爲全球性、永久性、不可撤銷、非排他性、全額免使用費的絕對授權,該授權包括本公司享有在全球任何地區可多重再許可的權利。訂戶在此確認並保證你有權作出上述授權,同時你的內容不侵犯他人任何權利,包括但不限於隱私權、人格權、著作權、其他人身權、財産權或知識産權。在相關法律許可的最大範圍內,訂戶在此放棄你的內容中在任何適用法律下訂戶可能享有之任何精神權利、人格權、或隱私權。

9.2 對你的內容産生的及/或可能産生的任何責任,均由訂戶獨自承擔,並且訂戶同意在使用訂閱服務、服務內容和我們的任何務服務時遵守一切相關法律法規。訂戶理解並同意,通過訂閱服務或服務內容向我們提交任何你的內容是訂戶自己的决定,並須自行承擔所有風險,且訂戶將獨自承擔你的內容的任何損失或對你的內容的任何濫用或損害。訂戶自己須負責對你的內容進行備份。

9.3 訂戶同意,訂戶不可在我們的任何網站及/或流動應用程式及其內容中、或其附屬服務,包括但不限於聊天室、論壇、留言板、公告板或新聞群組中公佈、交換、提供或處理任何禁止內容。「禁止內容」包括 (a) 含有辱駡、誹謗、種族主義、性別歧視、任何其他類型的歧視或淫穢等的內容;(b) 欺騙、欺詐或誤導等內容;(c) 侵犯他人的,包括但不限於知識産權或其他權利的內容;(d) 含有、感染或以其他方式含有病毒、或類似的可能損害他人電腦及/或流動裝置的軟件或程序;(e) 在任何適用法律下任何違反法律或法規的內容;或者 (f) 其他不當或犯罪內容。

9.4 我們有權利(而非責任或義務)檢查你的內容中的任何部分,並可因任何理由及以絕對酌情權決定對你的內容進行部分或全部删除、移動或修改,這些理由包括但不限於根據我們獨立或絕對酌情權判斷認爲你的內容違反了本協議或構成禁止內容,或者構成其他安全威脅,或對他人構成危害,或者可能招致我們或他人需要承擔任何責任。如訂戶違反本協議條款,我們保留權利(但不承擔相關責任或義務),可以單方自行决定進行調查或採取其他適當行動,包括但不限於移除或修改你的內容、暫停或終止你的賬號、和/或暫停或終止結向你提供訂閱服務、和/或向有關執法部門舉報等。按照任何適用法律下的政府及法律要求、法院傳票、法庭指令,或者爲保護我們及附屬公司、我們的服務供應商、商業夥伴及其他用戶的法律權益,或者爲保證我們的經營與系統的完整和運行,我們有權獲取並向法庭、相關政府機關或執法部門披露任何我們絕對酌情權認爲必需的或適當的信息或內容,包括但不限於你的賬號信息(即:姓名、電郵地址、電話號碼等的登記資料)、IP地址、交易信息、使用紀錄、你的內容以及你的行爲。

10. 服務轉售之禁止
本訂閱服務任何部分或本訂閱服務之使用或存取,在未經本公司的書面同意前,訂戶同意不進行複製、轉載、出售、轉售或作任何商業目的之使用。本公司有權毋須另行通知,即時終止提供訂閱服務予違反此禁止服務轉售條款的訂戶。

11. 彌償
訂戶或其授權使用人由於:
11.1 本訂閱服務之使用、
11.2 違反本協議任何條款及條件、或
11.3 因侵害其他人任何權利

而衍生或導致任何第三方提出的索賠、請求、損失、損害、費用或責任(包括但不限於合理的律師費),訂戶謹此同意全額彌償及賠償本公司及任何壹傳媒成員公司、分支機構、董事、主管、員工、代表人、代理人、承辦商、聯名商戶或其他商業夥伴之任何損失或損害,並使其免受損害。

12. 免責聲明
按此細閱《免責聲明》。

13. 終止及暫停服務
13.1 在適用法律許可的最大範圍內,如訂戶違反協議內的任何條款及條件,本公司有權毋須另行通知,即時終止或暫停提供訂閱服務。本公司不承擔訂戶或任何第三方因前述理由被終止或暫停提供訂閱服務而衍生的任何責任。

13.2 如訂戶不同意任何經修改的本協議條款及條件,可選擇不繼續使用訂閱服務。本公司會退還餘下之訂閱費用 (只限設有退款的訂閱計劃),詳情請聯絡本公司之顧客服務中心,電郵至cs@nextdigital.com.hk。

13.3 當本協議終止後,根據本協議條款及條件授予訂戶的所有特許權、其他權利及優惠將立即予以終止。除非在本協議內另有特別訂明外,訂戶沒有權利取回任何訂閱費用。

14. 取消訂閱
如訂戶使用網站或手機購買壹傳媒的付費訂閱服務,而選擇不再訂閱,請前往「壹會員中心」,點選「取消訂閱」。訂戶如在手機應用程式內購買「月費訂閱」計劃,請前往App Store/ Google Play 查詢或取消自動續訂。

15. 通知
訂戶如欲通知本公司,必須以書面透過電郵至cs@nextdigital.com.hk。本公司如欲通知訂戶,可以書面透過電郵、短訊及/或應該程式內通知及/或其他現已存在或將來創建的方式通知訂戶。本協議條款及條件、訂閱服務或其他重要事項有所變更時,本公司亦可能透過上述方法通知訂戶。此等通知將構成本協議的一部分。

16. 私隱政策
本公司尊重訂戶個人資料的私隱,訂戶須同意及遵守《私隱政策》之條款,請按此細閱本公司私隱政策。

17. 法例以及一般條款
17.1 本協議受中華人民共和國香港特別行政區法律管轄,並按香港特別行政區法律闡釋,訂戶及本公司均同意接受香港特別行政區法院的專屬管轄權所管轄。

17.2 假如本協議內任何條款被一個具裁決權的本地法庭認定為抵觸法律,此等條款就要以意義最相近的其他並列的條款去執行及生效,從而反映協議各方之意願。

17.3 本公司放棄或延遲執行及/或暫時不執行本協議所賦予的任何權利或救濟,不應詮釋為放棄該權利或救濟。即使放棄個別或部分該等權利或救濟並不會防礙本公司進一步行使本協議內其他任何權利或申請及/或獲得任何其他救濟。

17.4 本協議的標題只為方便閱讀,並不影響本協議的闡釋。在闡釋本協議時,單數字眼具有複數含義,男性字眼具有女性及中性含義,個人字眼具有合夥公司及有限公司含義。

18. 訂戶聲明
本人確認已詳細閱讀及理解本協議所列的條款及條件,並願意接受其約束。



 

Subscription Service Agreement and Terms and Conditions
(Hong Kong and Macau Areas)


Next Digital Limited and its subsidiaries, associated companies and affiliated companies (hereinafter "the Company," "Next Digital," or "We") offer a variety of subscription plans, including Apple Daily News Website (Hong Kong) (《蘋果日報網站》(香港)), Apple Daily smartphone mobile app (hereinafter "Apple Daily") (《蘋果動新聞》) and Next Magazine website or its smartphone mobile app (hereinafter "Next Magazine") to supply news and information on mobile phones and on the Internet, or food and dining-related information and its subscription services (hereinafter "Subscription Services"). Before you sign up for the Subscription Services, please read carefully the following Subscription Service Agreement and Terms and Conditions (hereinafter "this Agreement"). At the time you sign up for the Subscription Services, you will have agreed to be bound by the following Terms and Conditions.

1. Agreement to Accept This Terms and Conditions
At the time you subscribe or use our services, you will have agreed to be bound by the terms and conditions stated herein. If you do not agree to abide by the terms and conditions of this Agreement, please do not sign up for and / or use Subscription Services. Subscription Services are provided on the condition of subscribers’ acceptance to be bound by this Agreement. The Company may amend this Agreement from time to time. In the event that we make substantive amendments to this Agreement, we will publicize any such amendments on the digital platforms of the Company. After publicizing the first notice of the said amendments as described above, you are deemed to have agreed to the said amendments when you continue to use the Subscription Services. If you do not agree to the said amendments, please cancel your subscription, and cease using the Subscription Services.

When you have completed the registration process and confirmed your subscription, you are deemed to have confirmed that you are a subscriber over 18 years of age, and have agreed to be bound by all of the terms and conditions under this Agreement.

2. Subscription Services
Apple Daily smartphone mobile app, Apple Daily News Website and Next Magazine offer different subscription plans in different regions. Subscribers will select their preferred Subscription Services in accordance with the region of which they are located. The details of the Subscription Services under the different subscription plans are as follows:

2.1 Apple Daily smartphone mobile app and Apple Daily News Website
2.1.1 Desktop: Subscribers may browse news content and other information via the Internet, with browsers such as the latest version of Google Chrome, which supports HTML5, the latest version of Firefox, and Microsoft Internet Explorer (version 11 or above, including Edge)

2.1.2 Smartphone Mobile App (OS & Android) : Subscribers may browse the latest news content and other information with Android (version 6.0 or above) smartphones, or iPhones (iOS 11 or above).

2.1.3 Mobile Web: via Android (version 5.1 or above) , tablet / mobile phone or iPad / iPhone (iOS 10 or above), subscribers can browse the latest news content and other information.

2.1.4 This Subscription Services is only applicable to the provision of news and information. The news and informative content included is not intended for use in any commercial transactions or investment objectives. It shall not be relied upon for any commercial activities, transactions or investment. The Company shall not be liable for the accuracy, reliability, completeness, timeliness, applicability and provision of any and all such information transmitted by this Agreement. The Company shall not be liable to any commercial activities, transactions or investment decisions made in reliance of the aforesaid information.

2.1.5 The Company reserves the right in refusing to provide and / or terminate any Subscription Services.

2.2 Next Magazine
2.2.1 Desktop: subscribers may browse news content and information via the Internet, with browsers such as Google Chrome (latest version), which supports HTML5, Firefox (latest version), and Microsoft Internet Explorer (version 11.0 or above, including Edge).

2.2.2 Mobile App (iOS & Android): subscribers may browse the latest news content and other information with Android (version 6.0 or above) smartphones or iPhone (iOS 11 or above).

2.2.3 Mobile Web: subscribers may browse the latest news content and other information with Android (version 5.1 or above), tablet / smartphone or iPad / iPhone (iOS 10 or above).

2.2.4 This Subscription Services is only applicable to the provision of news and information. The news and informative content included is not intended for use in any commercial transactions or for any investment objectives. It shall not be relied upon for any commercial activities, transactions or investment. The Company shall not be liable for the accuracy, reliability, completeness, timeliness, applicability and provision of any and all such information transmitted by the Subscription Services. The Company shall not be liable to any commercial activities, transactions or investment decisions made in reliance of the aforesaid information.

2.2.5 The Company reserves the right in refusing to provide and/or terminating any subscription services.

3. Duties and Obligations of Subscribers:
3.1 At the time of subscribing to the Subscription Services, subscribers shall agree to the following:
3.1.1 Follow the direction for the registration of Subscription Services, and provide truthful, accurate, timely and complete subscriber information (hereinafter "Registration Information").

3.1.2 Where necessary, update Registration Information to ensure that the information remains truthful, accurate, timely and complete.

3.1.3 Subscription Services are provided on an individual and personal basis for each paying subscriber. In no event shall Subscription Services be transferred to other individuals or organizations. Nor shall the subscription account be shared under any circumstances.

3.2 If subscribers provide any false, untrue, outdated or incomplete Registration Information at registration, or if the Company suspects the relevant Registration Information to be false, untrue, outdated or incomplete, the Company reserves the right to reject the said registration, and / or suspend or terminate the Subscription Services (any or all parts) of the said subscriber, without notice or any liability incurred. The service fees already paid shall not be returned. Unpaid service fees shall be settled on the date due.

3.3 To receive continuous Subscription Services, subscribers agree to pay for the subscription service fees (hereinafter "Service Fees") in accordance with the subscription option and the manner of payment of which they have selected. The Company will state or renew Service Fees on the Subscription Sign-up Form from time to time. If subscribers choose to pay with credit card or PayPal, subscribers authorize the Company to charge the said credit card or PayPal Account directly, all Service Fees payable. Subscribers shall also agree to fill out all the necessary information or provide relevant documentation for the said credit card or PayPal account. If subscribers elect to pay for the Per Diem Subscription Services, the Company shall charge subscribers’ credit cards or Paypal account on the first day following each month of Subscription Services already provided. At the time of subscription, subscribers have authorized the Company to automatically charge the Service Fees to the subscribers’ credit card or PayPal account as provided, until subscribers successfully cancel the said Subscription Services. Subscribers agree that, to the fullest extent permitted under applicable laws, in no event shall the Company make refund arrangements for Service Fees already paid.

3.3.1 If subscribers subscribe on the App Store / Google Play Store, payment shall be charged directly to the Apple ID or Google account automatically at the time of confirmation of subscription. If you do not disable the automatic renewal function 24 hours before the settlement date of Subscription Services, the said fees shall be charged automatically with the renewal of Subscription Services. You may disable the automatic renewal function under Account Setting at any time. Subscribers agree that there shall be no refund of all Service Fees already paid. To the fullest extent permitted under applicable laws, the Company shall not make any arrangement for refund.

3.4 Apple Daily’s (Paid Membership Subscription Services) website and mobile web versions offer per diem, per month and annual subscription options respectively. Subscribers with the Paid Membership have simultaneous access to Apple Daily. The said plan is available for purchase by subscribers of Hong Kong and some areas of Macau only.

ai) Daily Subscription (not available for new subscribers) the standard rate for a month is HK$50.4. In any given month the number of days is 30 (whether a given month has 28, 29, 30 or 31 days). The month’s subscription fee will be charged onto the credit card or the PayPal account that the subscriber has authorized for payment on the 1st of the next month. If the subscription period has not reached one month, the subscription fee is calculated by the average of HK$1.68 a day times the number of days subscribed (HK$50.4 / 30 days x number of days subscribed). For example, if a subscriber subscribes on 2nd September, and cancels the subscription on 10th September, the subscription fee is (HK$1.68 x 8 = HK$13.44). The subscription fee of each month will be collected by charging the authorized credit card / the PayPal account on the 1st of the month following. The subscription fee of September will be collected on 1st October. For example, if a subscriber subscribes on 2nd September, then on 1st October the subscription fee payable is (HK$1.68 x 29 = HK$48.72.) The Daily Subscription Plan is automatically renewed each month, until the subscriber cancels the subscription.

aii) Daily Subscription (not available for new subscribers) subscription fees are charged per diem at the rate of $1.68. Based on Hong Kong time, at midnight from 00:00:00 to 23:59:59 consists of one day. For any access within one day, even if it lasts less than a day, a per diem subscription fee will be charged. At 24:00:00, it is considered a new day.

aiii) At the time subscribers cancel or terminate the Daily Subscription Plan, subscribers shall not be able to access any content. All dues payable from the subscription shall be charged onto the authorized credit card or PayPal account. Upon successful collection of subscription fees, the Company will issue an electronic invoice via email.

aiv) In the event that a subscriber fails to settle the subscription fees in full, the Company may appoint any person as agent, who will represent the Company in enforcing the obligations under this Agreement; or pursuant to the powers granted herein, authorize the said agent or to further appoint any other person as third-party agent (including any debt collector or lawyer), to collect any or all of the Service Fees owed under the terms of this Agreement.

bi) Apple Daily (HK) Daily Subscription (Prepaid):the standard rate for a month is HK $50.4. In any given month the number of days is 30 (HK $1.68 x 30 = HK $50.4). This plan offers prepaid subscription fee with automatic renewal each month. The fees are collected by the payment option that you have selected on the day of subscription, thereafter automatically charged on the same day each month, until the subscriber cancels the subscription. If the subscriber cancels the subscription during a month whereby the subscription fee has been paid, the balance of the unused subscription fee will be returned to the subscriber in full, beginning with the day of cancellation of the said subscription (HK$1.68 x the remaining days of the subscription period). Effective immediately upon cancellation of the subscription, the subscriber shall not be able to access the content. For example, if a subscriber subscribes on 1st April, 2020, the subscription period covers through 30th April. On 27th April, subscriber cancels the subscription. The remaining days of the subscription period is the last day of the subscription period that month minus the day of cancellation (30-27 = 3). The said subscriber will receive HK$1.68 x 3 = HK$5.04 as a return of unused subscription fees. For enquiries, please email cs@nextdigital.com.hk.

bii) Refund policy for Daily Subscription (not available for new subscribers) : upon receipt of a cancelled subscription, we will apply for a refund through the third party payment gateway as authorized under Clauses 3.7 and 3.8 herein. Processing shall take at least one month. When the application has been accepted, we will notify the subscriber by email. The refund shall be processed and credited to the subscriber’s credit card account at the issuing bank.

ci) Apple Daily (HK) Monthly subscription: the standard rate for subscription per month is HK$58. Subscription order is available on the website or by smartphones. Prepaid monthly subscription fees are payable by credit card or PayPal and the subscription is automatically renewed each month. Beginning on the first day of subscription, the fees are collected on the same day each month by the authorized payment option that subscribers have selected, until subscribers cancel the said subscription. Apple Daily (HK) Monthly subscription can be cancelled, but there is no refund of unused subscription fees.

cii) If a subscriber purchases the Apple Daily (HK) Monthly subscription plan via the smartphone app, the subscription fees are collected via App Store / Google Play. The relevant price setting and foreign currency exchange rates are determined by the policy of App Store / Google Play of the respective country / region. If you have any questions regarding subscription via smartphone apps, please inquire with or report the problem to App Store / Google Play. You may also change or cancel the automatic renewal of the said subscription within the smartphone app.

ciii) Subscribers of the Apple Daily (HK) Monthly subscription plan may still access the content until 23:59:59 of the settlement day of that month. For example, if a subscriber subscribes on 30th March, 2020, and cancels the said subscription on 15th April, 2020, the browsing period will end on 29th April, 2020 at 23:59:59.

di) Apple Daily (HK) Annual Subscription (20% off):the standard rate for this plan is HK$483.8 per annum (original price of HK$604.8 with 20% off). The annual subscription fee is settled in full by credit card, PayPal or in-person at 7-Eleven or by other payment methods. There is no refund on the Apple Daily (HK) Annual Subscription (20% off) . The said plan is renewed automatically each year, until subscribers cancel the subscription. If subscribers cancel the subscription during the subscription period, access will continue to be available until 23:59:59 of the end of the said annual subscription period. For example, if subscription begins on 30th March, 2020, and the subscriber cancels the subscription on 1st August, 2020, access will cease on 28th February, 2021 at 23:59:59.

dii) If subscribers elect to pay for the Apple Daily (HK) Annual Subscription (20% off) in-person at 7-Eleven, they must first log on to their subscriber account, click and acquire the QR Code, then approach any 7-Eleven store to present the said QR Code for payment by cash. It takes two days to process the payment. The QR Code is valid for five days. Beginning with the day that the subscriber purchases the Apple Daily (HK) Annual Subscription (20% off), subscribers must acquire the QR Code within five days and present payment at any 7-Eleven. The cut-off time is 5pm (17:00:00) each day. If the subscriber fails to settle the annual subscription fee by 17:00:00 of the fifth day, we have the right to terminate the said Subscription Services anytime.

ei) Annual Subscription (not available for new subscribers):the standard rate for this annual subscription is HK$604.8 (1.68x30x12). The annual subscription fee is settled in full by credit card, PayPal, at 7-Eleven or by other payment methods. If subscribers cancel their subscription during the subscription period, the unused subscription fees will be returned to the subscribers pro rata, as calculated by the number of full months remaining of the subscription period. Each month is HK$50.4 (HK$604.8/12 = HK$50.4). If less than a full month remains, it counts as a full month (HK$604.8 – (HK$50.4 x the number of months already subscribed). The rest shall be returned to the subscriber. Subscribers will have access to the Subscription Services until 23:59:59 of the settlement day of that month. For example, if a subscriber begins the subscription on 15th September, 2019, and cancels the said subscription on 1st November, 2019, the refundable subscription fee is (HK$604.8 – HK$50.4 x 2 months = HK$504). Annual Subscription automatically renews annually, until the subscriber cancels the subscription.

eii) Annual Subscription (not available for new subscribers) Refund Policy
1) Refund of annual subscription fees paid online: upon receipt of a cancelled subscription, we will apply for a refund through the third party payment gateway as authorized under Clauses 3.7 and 3.8 herein. Processing shall take at least one month. When the application has been accepted, we will notify the subscriber by email. The refund shall be processed and credited to the subscribers’ credit card account at the issuing bank. There shall be no refund on all special offers.

2) Refund of annual subscription fees paid offline: upon receipt of a cancelled subscription, we will contact the subscriber by email or telephone to handle the refund. It takes at least one month for processing. The refund will be credited to the bank account as designated by the subscriber. There shall be no refund on all special offers.

eiii) Annual Subscription (not available for new subscribers) offers an annual subscription as follows: based on Hong Kong time, the subscription date begins on the first day of subscription to last the following twelve months, until 23:59:59 of the last day of subscription. For example, if a subscriber begins the subscription on 15th September 2019, then the annual subscription ends at 23:59:59 on 14th September, 2020.

3.5 Next Magazine Paid Membership offers per diem, per month and annual subscription options. This plan is only available to subscribers in Hong Kong and some areas of Macau.

ai) Daily Subscription Plan: set at a standard rate of HK$30 per month, in any given month the number of days is thirty (HK$1 x 30 = HK$30). Subscription fees are prepaid with automatic renewal of subscription each month. The fees are charged to the payment option that subscribers authorized one month from the day of subscription and on the same day each month, until subscribers cancel the subscription. If a subscriber cancels the plan during a subscription period, the balance of unused subscription fees shall be returned to the subscriber. Beginning on the day of cancellation, subscribers shall receive a return of HK$1 x remaining days of subscription period. When subscribers cancel the subscription, access to the content shall cease immediately. For example, if a subscriber subscribes on 1st April, 2020, the subscription ends on 30th April, 2020. Upon cancellation of the said subscription on 27th April, 2020, the subscriber has remaining the last day of the subscription period – the day of subscription cancellation. In this case, it would be 30 – 27 = 3 days. The amount to be returned to the subscriber would be HK$1 x 3 = HK$3. For enquiries, please email cs@nextdigital.com.hk.

aii) Upon receipt of a cancelled subscription, we will apply for a refund through the third party payment gateway as authorized under Clauses 3.7 and 3.8 herein. Processing shall take at least one month. When the application has been accepted, we will notify the subscriber by email. The refund shall be processed and credited to the subscribers’ credit card account at the issuing bank.

bi) Monthly Subscription: the standard rate for this plan is HK$33 per month. Subscriptions can be made online or on smartphones. Online subscription offers pre-paid payment by credit card or PayPal. The plan is automatically renewed each month. The fees are charged to the authorized payment option one month from the day of subscription and on the same day each month, until subscribers cancel the subscription. Monthly Subscription can be cancelled, but there shall be no refund for the balance of unused subscription period. .

bii) For purchase of the Monthly Subscription plan in the mobile app, the subscription fees are collected via App Store / Google Play. The relevant price setting and foreign currency exchange rates are determined by the policy of App Store / Google Play of the respective country / region. If you have any questions regarding subscription via smartphone apps, please inquire with or report the problem to App Store / Google Play. You may also change or cancel the automatic renewal of the said subscription within the smartphone app.

biii) Upon cancellation of the Monthly Subscription plan, subscribers shall retain access to the content until 23:59:59 of the settlement day of the same subscription month. For example, if a subscriber subscribes on 30th March 2020, and cancels the subscription on 15th April, 2020, the subscription period ends at 23:59:59 on 29th April, 2020.

ci) Monthly Subscription (not available for new subscribers): the standard rate of this plan is HK$30 per month. In any given month the number of days is 30 (whether a given month has 28, 29, 30 or 31 days, the formula is based on 30 days). The monthly subscription fees are charged to the authorized credit card or PayPal Account on the 1st of the following month. For subscriptions short of one month, the subscription fee is HK$1 per day (HK$30 / 30 days) x the number of days subscribed. For example, if a subscriber subscribes on 2nd September and cancels on 10th September, the subscription fee payable is HK$1 x 8 = HK$8. The monthly subscription fee is charged to the authorized credit card or Paypal account on the 1st of the following month. As such, the subscription fee for September will be charged on 1st October. For example, if a subscriber subscribes on 2nd September, then on 1st October the subscription fee is HK$1 x 29 days = HK$29. The monthly subscription plan is automatically renewed each month, until the subscriber cancels the subscription.

cii) Monthly Subscription (not available for new subscribers): based on Hong Kong time, a day begins at 00:00:00 to end at 23:59:59. For any browsing less than one day, it will be treated as one day. Beginning at 24:00:00, any browsing will be treated as a new day of subscription.

ciii) Upon cancellation or termination of the Monthly Subscription (not available for new subscribers) plan, the subscriber shall not be able to access any content immediately. All unpaid subscription fees will be charged to the authorized credit card / PayPal account immediately. Upon receipt of the subscription fees, we will issue an electronic invoice to the subscriber.

civ) In the event that a subscriber fails to pay the subscription fees in full, the Company may appoint any person as agent, who will represent the Company in enforcing the obligations under this Agreement; or pursuant to the powers granted herein, the Company may authorize the said agent or further appoint any other person as third-party agent (including any debt collector or lawyer), to collect any or all of the Service Fees owed under the terms of this Agreement.

di) Annual Subscription (20% off) Plan: the standard rate for this plan is HK$288 (the original price of HK$360 with 20% discount). The annual fees are settled in full by credit card, PayPal, in-person at 7-Eleven, or other payment methods. The Annual Subscription (20% off) Plan is renewed automatically each year, until subscribers cancel the subscription. If a subscriber cancels the subscription during the subscription period, access to the content remains available until 23:59:59 on the last effective day of the subscription period. For example, if a subscriber subscribes on 30th March, 2020, and cancels the said subscription on 1st August, 2020, the subscription period will end at 23:59:59 on 28th February, 2021.

dii) Where the subscribers elect to settle the annual subscription fees at 7-Eleven, they must first log on to their subscriber account, click on "My Bill" and acquire the QR Code. They can approach any 7-Eleven store to present the said QR Code for payment by cash. It takes two days to process the payment. The QR Code is valid for five days. Beginning with the day that the subscriber purchases the Annual Subscription (20% off) , the subscriber must settle payment at any 7-Eleven with the QR Code within five days. The cut-off time is 17:00:00 each day. If the subscriber fails to pay the annual subscription fee by 17:00:00 of the fifth day, we have the right to terminate the said Subscription Services anytime.

ei) Annual Subscription Plan (not available for new subscribers): the standard rate for this plan is HK$360, based on HK$30 per month for 12 months. The annual subscription fee is settled in full by credit card / PayPal, in-person at 7-Eleven or by other payment methods. The Annual Subscription Plan covers a period of a year. Based on Hong Kong time, the subscription period lasts twelve months beginning from the first day of subscription, until at 23:59:59 on the very last day of the subscription period. For example, if a subscriber subscribes on 15th September, 2019, then the subscription period ends at 23:59:59 on 14th September, 2020. The Annual Subscription Plan is renewed automatically each year, until the subscriber cancels the said subscription.

eii) Where subscribers cancel the subscription during the subscription period, the balance of the unused subscription fees shall be returned to the subscribers at the rate of each month HK$30 (HK$360 / 12 months = HK$30). For any remaining subscription for less than one month, it will be treated as one month. The rest shall be returned to the subscriber. The subscriber will be able to access the content until 23:59:59 on the settlement day of that month. For example, a subscriber subscribes on 15th September, 2019 and cancels the subscription on 1st November, 2019. The returned subscription fee is (HK$360 – HK$30 x 2 = $HK300). The browsing period ends at 23:59:59 on 14th November, 2019. For enquiries, please email cs@nextdigital.com.hk.

eiii) Refund Arrangement for the Annual Subscription Plan

1) Refund for online payment of annual subscription fees: upon receipt of a cancelled subscription, we will apply for a refund through the third party payment gateway as authorized under Clauses 3.7 and 3.8 herein. Processing shall take at least one month. When the application has been accepted, we will notify the subscriber by email. The refund shall be processed and credited to the subscribers’ credit card account at the issuing bank. There shall be no refund on special offers.

2) Refund for offline payment: upon receipt of cancellation, we will contact the subscriber via email or telephone to handle the refund. The processing time is about one month. The refund will be credited to the bank account as designated by the subscriber. There shall be no refund on all special offers.

3.6 The Company may, from time to time, amend, adjust, or discount Service Fees. The Company will notify subscribers about the said amendments, adjustments or discounts. Subscribers are free to decide whether to continue with their subscription.

3.7 Where subscribers elect to pay for Service Fees with their credit cards, the Company will authorize a third party as a payment gateway to begin the payment process. The said authorized third party shall collect and process cardholder data in accordance with the standards of Payment Card Industry Compliance. The Company is not involved in this process in any manner.

3.8 Where Subscribers pay for Service Fees via Paypal, PayPal will issue a Billing Agreement ID (BAID) to Zuora, an authorized third party of the Company. Only the BAID number and the PayPal email will be retained by Zuora. The Company is not involved in the payment processing and the retention of data in any manner.

3.9 Where subscribers subscribe and settle payment via App Store / Google Play, the fees are collected by App Store / Google Play. The Company is not involved in the payment process in any manner.

3.10 Subscribers are solely responsible for the provision, maintenance and sound operation of the information networks, client system hardware and other necessary installations that connect to the Subscription Services.

4. Member Log in, Password and Security

4.1 Once subscribers complete the registration, they can access the Subscription Services with the registered email or phone number and the login password. Subscribers may change their personal data and passwords in accordance with account management instructions. Subscribers are fully responsible for maintaining the security and confidentiality of the login email, telephone number, user name, login password and the subscriber account information. Subscribers are fully responsible for all actions taken for the use and password access of the Subscription Services (including but not limited to the use of login email, telephone number, user name, and password by authorized third persons.)

4.2 Where subscribers suspect that the login email, telephone number and / or password was or likely to have been compromised by unauthorized use, or other security measures might have been breached, including but not limited to the login password being stolen or leaked, the credit card and / or credit card data being lost, stolen or leaked, subscribers must notify the Company immediately by email: cs@nextdigital.com.hk. However, subscribers must be responsible for all losses and fees incurred due to data stolen or leaked from use of the account by unauthorized third parties before the Company was notified and could take appropriate actions to protect the subscribers’ personal data and account.

5. Subscribers’ Conduct

5.1 This section is a key provision of this Agreement. Subscribers warrant to the Company that they and their authorized third party of Subscription Services will not use Subscription Services and its content for any purpose not permitted under this Agreement; or use, release, reproduce or otherwise present the content of Subscription Services for any purposes without the permission of the Company or otherwise unlawful under any applicable law. Subscribers agree to abide by Hong Kong law or the law of any applicable jurisdiction. Subscribers expressly agree herein not to do the following illegal acts under any applicable law, including but not limited to:
  1. By using the Subscription Services to conduct surveys, contests, pyramid schemes, releases, chain letters, direct mail advertising, spamming or otherwise to distribute any such information of a commercial nature;
  2. Conduct any act that violates the privacy of another, damage the reputation of this Company, and / or damage the reputation of another. These acts include, but are not limited to: slander, defamation, harassment, stalking or threatening;
  3. Produce or spread inappropriate, abusive, defamatory, tortious, lewd, immoral or any such information that is deemed unlawful under any applicable law; Promote, market, buy or sell any service or product for non-personal purposes;
  4. Collect the personal data of another, including but not limited to email addresses;
  5. Create a false identity to distribute / disseminate any message;
  6. Transmit or upload any program containing viruses, time bombs or otherwise deleterious malware;
  7. Transmit or upload any information or message that violates the intellectual property, privacy or reputation of another;
  8. Disrupt or damage the networks that connect and provide Subscription Services, thereby interfering with the working operation of the said network;
  9. Attempt to gain unauthorized access to Subscription Services, the account of another, or the computer and networks that connect to the servers of the Company;
  10. Gain unauthorized access, forcefully enter illegally, log on, use or attempt to use any part of the server, information and databases and / or any information and data in any other area owned or possessed by the Company or its service providers without the permission of the Company and its service providers;
  11. Interfere with the enjoyment of the Subscription Services of another;
  12. Fail to settle Service Fees before the settlement date; and
  13. Tamper with any content published by the Company.
5.2 The Company reserves the right (but has no duty or obligation) to monitor Subscription Services and the subscribers of Subscription Services. We also reserve the right to monitor, review, preserve and / or disclose any of the foregoing information in compliance with any laws, regulations, legal proceedings and / or government regulations of any applicable jurisdiction. 5.3 The Company has the right, without notice or refund, to terminate immediately the provision of Subscription Services to subscribers that fail to conform to the terms of Subscribers’ Conduct.

6. Amendment and changes to this Agreement:
The Company will amend the terms and conditions herein, or adjust service fees, or implement new service systems from time to time. Such amendments, changes, addition or deletion of the terms and conditions will be released on Next Mobile, Apple Daily News Website, Next Magazine, or by email, SMS messaging, in-app notification and / or any other means of publication. Unless stated otherwise in the said notification, all changes take effect immediately upon publication. Subscribers agree to review this Agreement periodically, to remain informed of any said amendments, changes, addition or deletion. Subscribers’ continuous subscription is deemed to be a confirmation and acceptance of this Agreement and the amendments, changes, addition and deletion therefrom.

7. The Amendment, Change and Suspension of Subscription Services
The Company reserves the right to make the following amendments, changes and / or suspension of Subscription Services without prior notice and at any time:

7.1 Amend, temporarily suspend, and /or terminate any part or all of the Subscription Services;

7.2 Temporarily suspend any part or all of the Subscription Services in order to conduct system protection, upgrade, tests and / or repairs, at any time; and

7.3 If in its absolute discretion the Company determines that a subscriber has breached any terms and conditions under this Agreement, or in its absolute discretion the Company determines that the circumstances are appropriate, suitable or necessary, the Company may limit or suspend any part or all of the connection to or use of a subscriber’s Subscription Services.

7.4 The Company shall extend reasonable effort in providing full Subscription Services. However, this shall not be treated as a guarantee that full Subscription Services are available to all the countries and regions worldwide or to the subscribers of any Internet Service Provider. If, owing to the special circumstances of certain countries, regions or Internet Service Provider, or due to Force Majeure reasons not attributable to the Company, subscribers are prevented from using the Subscription Services, including but not limited to the blockade of foreign websites by certain countries / regions, or network facilities being destroyed by natural disaster, subscribers shall not rely on the same as the reason for cancellation of Subscription Services.

7.5 The Company reserves the right to amend, change or suspend any membership program, system or the right to member-only access. All remaining matters shall be handled in accordance with the relevant policies or explanations of the Company, the notice and supplement of which shall be done at any time pursuant to Clause 6 herein.

7.6 Subscribers confirm that the Company shall not be liable to subscribers or any third party for exercising the right to amend, change and / or suspend Subscription Services pursuant to this Clause 7 herein.

8. Protection of Intellectual Property:

8.1 Subscribers agree that, with the exception of "Your Content" (as defined in Clause 9.1 hereinafter), we and / or our suppliers own all of the intellectual property rights in the content and the technology involved in the Subscription Services and all the data and content included in the process of subscription and via Subscription Services, including but not limited to texts, files, music, audio files, photographs, videos, images, or the content of advertisements; and / or the sponsorship, advertisement or data provided to subscribers by advertisers by way of Subscription Services (hereinafter "Service Content"). All Service Content are protected by the copyright, trademark, service mark, patent and other relevant intellectual property laws worldwide. Subject to your agreement to this Agreement, the Company authorizes subscribers to browse and use Service Content for personal and non-commercial purposes. The said authorization is limited, non-exclusive, non-transferable, non-licensable, and revocable. Furthermore, subscribers shall not use the Service Content for any other purposes. We and our suppliers reserve the full rights to all content that has not been authorized under this Agreement. Nothing herein shall be construed as an implied authorization for Service Content. Where subscribers download Service Content protected by intellectual property laws, subscribers undertake to only use the said content for personal and non-commercial purposes. At the time of download, subscribers must preserve all notices relating to copyright and other intellectual property rights. When using Service Content, subscribers and their authorized third parties must not violate the intellectual property rights of the Company, its associates, sponsor clients or content service providers, including but not limited to the composition, download or the unauthorized connection of partial content or Subscription Services to the network of subscribers or any other third parties.

8.2 Without the prior written consent of the Company, subscribers shall not copy, download, upload, print, present, publish, license, publicize, transmit, edit, reprint, disseminate, release, store in a database any part or all of the Service Content; or otherwise present, modify, create derivative work, reverse-engineer, disassemble, adapt, propagate, transfer, transmit or to exercise use of any downloaded Service Content to any third party. Subscribers shall not, via any network, including but not limited to regional networks, disseminate or transmit the downloaded Service Content. Subscribers shall not use the downloaded Service Content in the form of a database or in any other manner, save for as expressly permitted in the terms of this Agreement or any other relevant supplemental standards, terms or rules.

8.3 Subscribers confirm that the relevant software (hereinafter "Software") that the Company or its service provider provides for use with the Subscription Services are limited to the connection to and use of the Subscription Services. The Software is furthermore protected by the relevant laws of intellectual property and other relevant laws. Subscribers shall not attempt to or otherwise authorize, transfer or transmit the same to any third party. Subscribers may retain one copy of the said Software, but only for personal and non-commercial use. Subscribers shall not violate the intellectual property rights of the said Software under any applicable law, including but not limited to copy, upload, print, present, publish, license, publicize, transmit, edit, transfer, store in a database; or otherwise present, modify, reverse-engineer, disassemble, disseminate, edit, or create derivative work to any third party. Subscribers agree not to modify the Software in any manner, or use a Software that has been modified, including but not limited to for the purpose of gaining unauthorized access to Subscription Services. Subscribers agree not to use Subscription Services via a platform not provided by the Company.

8.4 The Company has the unilateral right to determine the categories, type, content, quantity, provision, quality or any other features of Service Content. The Company reserves the right to unilaterally determine whether to edit, suspend, delete, or terminate any part or all of Subscription Services, Service Content or any of our services. Subscribers agree that the Company shall not be liable to any loss incurred to you or any third party in exercising the aforementioned right to edit, suspend, delete or terminate the same.

9. Your Content
9.1 We do not assert any rights of ownership on the text, files, music, audio files, photographs, graphic design, pictures, visual files or any other information, messages or content (hereinafter "Your Content") that subscribers, or via us, upload or transmit. Subject to the limits of intellectual property rights and other ownership rights, subscribers hereby authorize us to save, copy, edit, create derivative products, publish, distribute, transfer, transmit, publicly display, publicly perform, or use in other manner Your Content as we provide Subscription Services. The said authorization shall be worldwide, perpetual, irrevocable, non-exclusive, fully-paid and royalty-free, and absolute, with the right to sublicense through multiple levels. Subscribers warrant and represent that you have the right to grant the above authorization, and Your Content does not violate the rights of another, including but not limited to privacy rights, personality rights, copyrights, and other personal rights, proprietary rights or intellectual property rights. Within the fullest extent permitted under applicable laws, Subscribers hereby waive any moral rights, personality rights, or privacy rights you may have in Your Content.

9.2 Subscribers are solely responsible for any liability that arises from or in connection with and / or may arise from and in connection with Your Content. Subscribers agree that they will abide by all relevant laws and regulations when using Subscription Services, Service Content or any service that we provide. Subscribers understand and agree that the provision of Your Content in using Subscription Services or Service Content is done at their sole discretion, as such they do so at their own risks. Subscribers are solely responsible for any loss of, and the abuse or harm that may arise from or in connection with, Your Content. Subscribers are responsible for retaining a copy of Your Content.

9.3 Subscribers agree that they will not disclose, exchange, provide or process any prohibited content (hereinafter "Prohibited Content.") on our website, and / or within our mobile apps and their content, or any ancillary services, including but not limited to chatrooms, forums, message boards, bulletin boards or news groups. Prohibited Content includes content that is (a) abusive, defamatory, racist, sexist, discriminatory or obscene; (b) fraudulent, deceptive or misleading; (c) in violation of any intellectual property rights or other rights of another; (d) corrupted or otherwise contain viruses or any other similar software or programs that may damage the computers and / or mobile devices of another; (e) in violation of any law or regulation; or (f) in any way inappropriate or unlawful.

9.4 We have the right (but have no obligation or duty) to review any or all portions of Your Content. It is in our absolute discretion to delete, move or modify any of Your Content in whole or in part for any reason, including but not limited to if we believe, in our sole judgment and absolute discretion, that Your Content has violated this Agreement or constitutes Prohibited Content, or otherwise constitutes security threats, or incurs any liability to us or any other. We reserve the right (but have no obligation or duty) to determine whether to unilaterally investigate or take any other appropriate action in the event that subscribers have violated the terms of this Agreement, including but not limited to removing or modifying Your Content, suspending or terminating your account, and / or suspending or terminating the Subscription Services provided to you, and / or reporting you to the relevant authorities etc. In order to cooperate with legitimate governmental requests and legal requirements under any applicable law, subpoena, court order, or in order to protect the legal rights of the Company and our subsidiaries, our service providers, business partners and other users, or in order to guarantee the integrity and operation of our business and systems, we have the right to access and disclose to courts and relevant government or law enforcement authorities the necessary or appropriate information or content, including but not limited to your account information (such as name, email address, phone numbers and other registration information), IP address, transaction information, usage records, Your Content and your conduct.

10. Prohibition Against the Transfer of Service
In using and accessing Subscription Services, subscribers agree not to copy, reprint, sell, transfer or use Subscription Services for commercial purposes without the prior written consent by the Company. The Company has the right to terminate the provision of Subscription Services to subscribers who have violated the Prohibition Against the Transfer of Service immediately and without notice.

11. Indemnity
Subscribers agree hereby to indemnify, compensate and hold the Company and any Next Media member companies, branches, directors, managers, employees, representatives, agents, subcontractors, associated business or other business partners harmless from and against any claims, demand, loss, damage, fees or liability (including but not limited to reasonable attorney fees) incurred by the Company or raised by any third party arising out of or relating to:

11.1 the use of Subscription Services by you or your authorized user,
11.2 the violation of any terms and conditions under this Agreement by you or your authorized user, or
11.3 the violation of the rights of another by you or your authorized user.

12. Disclaimer and Limitation of Liability

13. Termination or Suspension of Services
13.1 Within the fullest extent permitted under applicable laws, we have the right to terminate or suspend the provision of Subscription Services immediately and without notice if subscribers have violated any terms and conditions of this Agreement. The Company shall not be responsible for any liability arising from or in connection with the termination or suspension of Subscription Services for the reason stated herein.

13.2 If subscribers do not agree with any amended terms and conditions of this Agreement, they may choose to discontinue the Subscription Services. For the subscription plans that come with refund provision only, the Company will refund the unused subscription fees. For enquiries, please contact Next Digital’s customer service centers or email to cs@nextdigital.com.hk.

13.3 All licenses, other privileges and concessions granted under this Agreement shall cease upon termination of this Agreement. Except where expressly provided for herein, subscribers are not entitled to a return of any subscription fees.

14. Termination of Subscription Services
Where subscribers purchased Next Digital’s Subscription Services on our website or on smartphones, and decided to discontinue the same, please visit Next Member Center and click on "cancel subscription." Where subscribers purchased the Monthly Subscription within the mobile app, please visit App Store / Google Play for enquiries or cancellation of automatic renewal.

15. Notice
Notice is given when: subscribers notify the Company by writing and email to cs@nextdigital.com.hk. The Company notifies subscribers by writing via email, SMS messaging and / or in-app notifications, and / or any existing or other newly invented communication channels in the future. Where changes are made to the terms and conditions of this Agreement or any other important matters, we may also give notice with the aforementioned means, when such notice shall constitute part of this Agreement.

16. Privacy Policy
The Company respects the privacy of the Subscribers’ personal data. Subscribers must agree and abide by the terms of the Privacy Policy. Please visit here for the Company’s Privacy Policy.

17. Applicable Law and General Provisions
17.1 This Agreement is governed by and shall be construed in accordance with the laws of the Hong Kong Special Administrative Region of the People’s Republic of China. Subscribers and the Company agree to accept the exclusive jurisdiction of the judiciary of the Hong Kong Special Administrative Region.

17.2 In the event that a local court with competent jurisdiction adjudged any of the provisions herein to have breached the law, the said provision shall be implemented and effective pursuant to other parallel provisions with the closest meaning, in order to give effect to the intention of all parties concerned.

17.3 The waiver, delay and / or temporary suspension of any right or remedy under this Agreement by the Company shall not be construed to be a waiver of the said right or remedy. The waiver of the full or part of any right or remedy does not preclude the Company in exercising any other right or applying for and / or being rewarded of any other remedies herein.

17.4 The headings on this Agreement serve only to aid the reading of the terms herein. They shall not in any way bear upon the interpretation of this Agreement. In construing this Agreement, references to the singular include the plural and vice versa, words importing the masculine gender include the feminine and neuter genders, and references to persons include partner companies and limited companies.

18. Declaration by Subscriber
I hereby confirm that I have read and understood the Terms and Conditions under this Agreement, and agree to be bound by the terms herein.

服務協議條款及條件(台灣地區)

壹傳媒集團(簡稱「本公司」)設有多個不同訂閱項目,包括《蘋果日報網站》(香港) 及手機應用程式《蘋果動新聞》(香港) ( 簡稱《蘋果動新聞》)、《蘋果新聞網》(台灣)及手機應用程式 ( 簡稱《蘋果新聞網》) 、《壹週刊》(香港)網站及手機應用程式(簡稱《壹週刊》),各訂閱項目分屬本公司轄下相關公司所經營,為您提供手機、網上新聞及資訊,或飲食相關資訊訂閱服務 ( 簡稱「訂閱服務」)。您在登記本公司的訂閱服務前,請詳閱本訂閱條款及條件。當您使用訂閱服務時,即已表示您同意並遵守以下條款及條件。

1. 同意接受條款及條件
您在訂閱及/或使用服務時,即已表示您同意接受本協議所有條款及條件之所有內容。如您不同意遵守本訂閱條款及條件,或您所在之國家或區域限制本訂閱服務之全部或一部時,請勿進行訂閱登記及/或使用服務。訂閱服務只會提供予接受本條款及條件約束之訂戶。本公司會不定時發送通知或公告,這些通知或公告均構成本協議的一部分。

若您未具備完全行為能力,除您本人應須遵守上述規定外,您的法定代理人並須同時詳閱、瞭解並同意遵守本條款之所有內容,您才能註冊並使用本訂閱服務;當您於本服務條款為修改或變更後仍繼續使用本服務時,即表示您的法定代理人亦已確實詳閱讀、瞭解並同意遵守本協議之修改或變更。
當您完成訂閱登記程序並按下「確認訂閱」按鈕時,即表示您以您的身份接受了本協議的所有條款及條件的約束。

2. 訂閱服務
《蘋果動新聞》、《蘋果新聞網》、《壹週刊》分別設有香港、台灣、非香港及台灣地區訂閱項目,各訂閱項目分別由「本公司」轄下各公司負責管理經營,訂戶根據所在地選購適當的訂閱項目。各訂閱項目的訂閱服務內容如下:

3. 訂戶責任及義務
3.1 您使用本訂閱服務,必須同意以下各項:
3.2 若您提供任何錯誤、不實、過時或不完整的資料,或本公司有理由合理懷疑您所提供的資料為錯誤、不實、過時或不完整,本公司有權不經事先通知,拒絕您的登記申請及暫停或終止對您提供之訂閱服務之一部或全部,並無需負擔任何責任。而您已繳付之訂閱費用,除非在本協議內有特別聲明外,本公司不會退還已付之訂閱費用。

3.3 若要維持訂閱服務,您須同意按照訂閱服務選項上所選擇的服務項目費用(簡稱「訂閱服務」)和支付方法繳付服務費用。

3.3.1 若訂戶於 App Store / Goolge Play Store 訂閱服務,當您確認購買訂閱計劃後,將直接從您的Apple ID 或 Google 賬戶扣款。若您沒有在訂閱到期日前24小時,關閉自動續訂功能,將自動扣款續訂。您可以隨時從 App Store / Google Play 的帳戶設定內取消自動續訂功能。訂戶同意所有已預繳的服務費用均不予退還。

3.4 《蘋果新聞網》(台灣)升級壹會員訂閱服務的網站及手機網頁版分別有月費、年費訂閱及團體方案。訂閱《蘋果新聞網》(台灣)升級壹會員訂閱服務,可以同時閱覧《蘋果新聞網》(台灣)及 《蘋果動新聞》(香港),訂閱方案只適合台灣地區讀者購買。
3.5 《蘋果新聞網》(台灣)訂閱服務(*限台灣地區用戶訂閱):
本公司在2019年9月2日推行《蘋果新聞網》(台灣) 升級壹會員優惠訂閱服務。
《蘋果新聞網》(台灣)採取預收月/年費制度,每月月費NT$120元或年費制NT$1,152元(原價NT$1,440元);團體方案年費制度,10至49人,每個帳號NT$999元/50人以上,每個帳號NT$899元。
如果您是月費壹會員取消訂閱時,依「通訊交易解除權合理例外情事適用準則」第二條第五款之規定,《蘋果新聞網》的服務一經您授權扣款購買即為完成服務,不適用消費者保護法第十九條第一項通訊交易七日解除權之規定,所以月費壹會員無法退費。您可以繼續閱覽至當次周期末日下次周期就不再自動扣款。
如果您是年費壹會員申請退費時,依每月月費120元計算,1,152元年費扣除已閱覽的月數費用及匯費NT$10元後,所餘之數為退費金額。申請退費時,閱覽時間不足一個月以一個月計,但您可看至當月週期屆滿。如經核算後退費金額低於NT$0元時,您同意撤銷退費申請,《蘋果新聞網》無須退還任何費用。

3.5.4 蘋果新聞網與上海商業儲蓄銀行西湖分行已簽署履約保證,由其對台灣年費訂戶依據「服務協議條款及條件」之約定申請退費應返還之金額負保證責任,保證範圍悉依雙方約定之保證合約書內容辦理。

3.6 訂戶必須自行提供及維持接駁訂閱服務之通訊線路、客端系統硬件及其他裝置,並確定其接收操作正常。 3.7 同意及接受上述第 3.4 及 3.6 條的訂戶,本公司將會於您所訂閱之服務項目於到期前三日,我們將會依訂戶的原訂閱服務項目自動續約,並透過訂戶提供的信用卡或其他的付款方式自動收費。如果訂戶不願意續約,必須於訂閱服務到期前三日服務前往「壹會員中心」,取消自動續約訂閱,否則視同您同意依原訂訂閱服務項目自動續約,成功取消訂閱後我們將不會再向訂戶收取任何費用。

3.8 本公司會因應不同地區,由各訂閱項目之管理公司分別透過電郵發出電子月結單或訂閱電子單據給訂戶。

3.9 訂戶透過信用卡支付訂閱服務費時,直接由「本公司」及各訂閱項目之管理公司授權第三方 Zuora,根據符合支付卡產業資料安全標準 (Payment Card Industry Compilance) 來收集及處理付款人之信用卡數據,收款過程及資料保存均與本公司無涉。

3.10 訂戶透過 App Store / Google Play 訂閱及支付訂閱服務費用時,直接由 App Store / Google Play收取費用,收款過程及資料保存均與本公司無涉。

3.11 訂戶必須自行提供及維持接駁訂閱服務之通訊線路、客端系統硬件及其他裝置,並確定其接收操作正常。

3.12 依據行政院消費者保護處公布實施之「通訊交易解除權合理例外情事適用準則」,其中「非以有形媒介提供之數位內容或一經提供即為完成之線上服務」、「報紙、期刊或雜誌」等,排除消費者保護法第十九條第一項解除權之適用,因此您所訂閱之項目不得要求及退款。

4. 訂戶帳戶、密碼及安全
4.1 您完成訂閱登記程序後,即可透過登入電郵或電話及登入密碼,享用訂閱服務。您可依照帳戶管理的指示,更改個人資料及登入密碼。您必須完全負責維持其登入電郵/名稱、登入密碼及您帳號資料的機密安全。當任何依照規定方法登入帳戶及密碼與本公司登入資料一致時,本公司均視為您本人所使用,對於利用該密碼及帳號所進行的一切行動,您將負完全的責任

4.2 訂戶同意如您的登入電郵及登入密碼遭到或懷疑遭到盜用或未獲授權使用,或有其他安全性問題發生時,包括但不限於登入密碼被盜或外洩,信用卡遺失、被盜用或資料外洩,您必須立即通過電郵cs@nextdigital.com.tw通知本公司。但您仍須承擔於通知本公司前,遭未被授權的第三方透過其登入密碼使用服務而生的一切損失及費用。

5. 訂戶義務
5.1 您承諾並保證不得利用訂閱服務及服務之內容從事本協議准許以外之目的使用或為其他非法用途。您同意遵守中華民國相關法律及一切使用網際網路之國際慣例,並明確同意不進行任何非法行為,若有違反,您除應自行負擔相關法律責任外,本公司並得終止您使用本服務之全部或一部,並請求本公司因此所受之損失︰
  1. 透過訂閱服務之使用進行問卷調查、比賽、傳銷、連鎖信件、廣告信函、濫發垃圾郵件或傳送任何含有商業性質之資訊;
  2. 侵害本公司及他人名譽及隱私之活動如︰誹謗、騷擾、追蹤及威脅等;
  3. 製造及散播不適當、濫用、誹謗、侵犯他人、猥褻、不道德或含有非法成份之資訊;
  4. 進行宣傳、銷售或買賣任何服務或貨品等商業活動;
  5. 蒐集他人的個人資料及電郵地址;
  6. 偽造身份進行傳播/散佈信息;
  7. 傳送或上傳任何含有病毒、炸彈或有害的程式;
  8. 散佈任何違反智慧財產權、他人隱私或名譽之資訊或信息;
  9. 干擾或破壞聯繫提供服務的網絡,影響網絡的正常運作;
  10. 企圖以未經授權的身份使用服務、他人帳戶、聯繫至伺服器的電腦或網絡;
  11. 擅自進入、非法強行闖入、登入、使用或嘗試進入、非法強行闖入、登入或使用未獲本公司及其服務供應商准許之伺服器之任何部分、資料庫及/或其他範圍的任何資料;
  12. 影響其他用戶使用訂閱服務之行為;及
  13. 其他侵害本公司權益之情事
5.2 本公司沒有義務監控您及任何使用者於使用本公司服務時段之內容。但本公司仍保留上開權利,以因應遵守法律、法規、法律程序及/或依政府規定作監控、回顧、保留及/或公開任何資料。

5.3 如您違反本合約之約定,本公司有權不經事先通知,逕行終止提供服務,並拒絕您使用本服務之全部或一部。

6. 訂閱條款的修改及變更
本公司會不時修訂本協議的條款及條件,此等修改、變更、增加或刪除條款及條件將於《蘋果動新聞》(香港)、《蘋果新聞網》(台灣)、《壹週刊》(香港)或透過電郵,或其他通訊形式公開發佈,公布時即時生效。訂戶同意定期回顧本協議,確保得悉任何前開的修改、變更、增加或刪除。訂戶繼續使用服務將被視為訂戶確認及接受本協議及其後的修改、變更。

7. 訂閱服務的修訂、變更及暫停
您同意本公司有權隨時作出下列修訂、變更及暫停的權利,無須任何通知:

7.1 改變、暫時停止及/或終止所提供的部分或全部服務內容;

7.2 在任何時間暫停部分或全部服務以便進行系統維護、提升、測試及/或維修;

7.3 若本公司認為您違反本協議的約定,本公司可限制或暫停您服務之一部或全部。

7.4 本公司將盡力提供完整的服務,但並不保證身處全球所有國家/地區或使用任何網絡服務供應商的用戶,均能使用本公司的完整服務。若因為個別國家/地區或個別網絡服務供應商的特別情況,或其他特殊的不可抗力之事由導致您無法使用本公司服務,例如:個別國家/地區網絡封鎖境外網站,或天災等不可歸責於本公司之事由導致網絡設施損壞等,您將不能據此作為取消訂閱之事由。

7.5 您同意本公司在行使訂閱服務之修訂、變更及暫停的權利時,無須擔負任何法律責任。

8. 智慧財產權
8.1 您明確知悉本訂閱服務、本公司或其關係企業、廣告客戶或內容服務提供者提供只限訂戶於網上瀏覽之內容,包含但不限於文字、檔案、音樂、聲音檔案、相片、影片、圖案或廣告內容( 簡稱「內容」),並受著作權、商標、服務商標、專利權或其他智慧財產權法律保障。訂戶下載受智慧財產權保障之內容只限作為私人或非商業用途,並須在下載時保留所有著作權或其他智慧財產權的公告。訂戶或被授權之第三方的內容使用形式不得侵犯本公司或其關係企業、廣告客戶或內容服務提供者的智慧財產權,包含但不限於重製、下載或未經授權將部分內容或訂閱服務接駁到訂戶自身或第三者的網際網路、公開傳輸或公開播送等。

8.2 在未得本公司的書面同意下,您不得重製、翻攝、散播、發行、以資料庫型式儲存、展示、改作、傳輸、向訂戶以外的第三方展示、更改、製造由下載內容而衍生的作品、傳送或以任何訂閱服務以外之形式使用下載內容。您不可透過任何網絡,包括區域網絡,散佈或傳送下載內容,亦不能將下載內容製成任何形式的資料庫。

8.3 本公司保證擁有或獲關係企業、廣告客戶或內容服務提供者授權在網上刊載新聞及其他資訊內容。

8.4 您明白知悉本公司或服務供應商所提供做為本訂閱服務所使用之任何相關軟體或程式( 簡稱「軟體」)只限用於本公司的訂閱服務,並受到相關的智慧財產權或其他法律保護。您不得將將軟體授權、轉讓或轉給其他第三人。您可保留一份「軟體」存檔,但只限於個人用途,並不重製、散播、修改、進行還原工程、解編或反向組譯。您同意不以任何形式修改「軟體」,或使用修改之「軟體」,包括但不限於為了未經授權而使用本訂閱服務之目的。您同意不會透過非本公司所提供的介面使用本訂閱服務。

8.5 如您違反上開約定,應自負法律責任,並賠償本公司因此所受之損害(包括但不限於訴訟費用及律師費用等)。

9. 服務轉售之禁止
您同意未經本公司書面同意,不得將本訂閱服務進行複製、拷貝、出售、轉售或作任何商業目的之使用,本公司有權毋須另行通知,即時終止提供服務予違反此服務轉售之禁止的訂戶。

10. 損害賠償
如您違反本協議之約定,因而造成本公司或任何第三人損害,您同意自行承擔責任,並同意賠償一切之損害(包括但不限於損害賠償律師費及相關法律費用)。

11. 免責聲明
按此細閱《免責聲明》。

12. 終止及暫停服務
12.1 如您違反本協議內的第2.15項、第2.25項、第3項、第5項、第8項及第9項之規定,本公司有權不需通知,立即終止或暫停本協議之服務,或如您違反協議內的其他條款,則本公司有權另行通知終止或暫停提供服務。您同意本公司無須承擔您或第三方之損失,本公司無需負擔任何責任。

12.2 如您不同意任何經修改的本協議條款及條件,可選擇不繼續使用訂閱服務,除非在本協議內有特別聲明外,本公司不會退還已付之訂閱費用。

12.3 本協議終止後,您所有因本協議條款所生之任何權利及優惠將予以終止。除非在本協議內有特別聲明外,您同意本公司無須退還任何訂閱費用。

12.4 本協議無論因任何緣故而終止,均不會影響本協議任何一方因本協議已產生的權利或責任,也不會影響該等在本協議內明確或隱含表示在終止本協議後仍然有效力或有行使權的條款,該條款包括但不限於第5、6、9、10、11及第12項。

13. 取消訂閱
如您選擇不再訂閱本協議之服務,請電郵至cs@nextdigital.com.tw聯絡客服專員。

14. 發票
您於本公司訂購服務之交易成立後,對於本公司會開立電子發票,並上傳您的電子發票至財政部電子發票整合服務平台留存,您可登入本公司網站進行查詢,相關資料請參考財政部電子發票整合服務平台。

15. 通知
任何一方欲通知對方,必須以書面透過電郵或其他方式傳送。本協議條款及條件、訂閱服務或其他重要事項有所變更時,本公司亦可能透過訂閱服務通知或公告。此等通知或公告將構成本協議的一部分。

16. 隱私暨個人資料保護政策
16.1 本公司尊重您個人資料的隱私,您須同意及遵守「隱私暨個人資料保護政策」之條款,請按此細閱本公司隱私暨個人資料保護政策。

16.2 本公司擬分別就個別訂閱項目規劃回饋訂戶之活動,例如安排講座、與名人對話等(以實際推出活動規劃為準),本公司並會將活動過程全程攝錄影,並上傳至個別訂閱項目網站以供訂戶閱覽,活動名額以抽籤方式選出,訂戶可依照自身喜好選擇是否參與活動,取得資格之中籤訂戶於參加活動時,視為同意訂戶於本公司及個別訂閱項目之營運公司於播送相關活動照片影片時,授權本公司及個別訂閱項目之營運公司得使用訂戶之肖像等相關專屬權利。

17. 準據法與管轄法院
本服務條款之解釋與適用,以及與本服務條款有關的爭議,均應依照中華民國法律予以處理,並以台灣台北地方法院為第一審管轄法院。

18. 聲明
接受本協議即表示,您確認已詳細閱讀及理解本協議所列的條款及條件,並願意接受其約束。
